Secondly, the models of corporative government applied by the United States, Great Britain, Germany and Japan are analyzed. Thirdly, the corporative mechanisms, the corporative market mechanisms of market and regulatory are used for the direction and control of the corporations and, finally, some important matters are examined that integrate the present debate on the corporative government. |

El propósito de este trabajo es presentar una aproximación al estado del debate acerca de lo que, en la literatura y en la práctica empresarial, se denomina gobierno corporativo. Se abordan cuatro cuestiones: a) ¿cuáles son los antecedentes del gobierno corporativo como fenómeno?, b) ¿cuáles son los modelos de gobierno corporativo aplicados en diversos países?, c) ¿cuáles son los mecanismos internos y externos mediante los cuales se dirigen y controlan las corporaciones? y d) ¿cuáles son los ejes principales del debate actual sobre gobierno corporativo? En relación con estas cuestiones, en primer lugar se hace una revisión de los antecedentes del problema de la separación entre la propiedad y la administración, desde Adam Smith hasta la formulación de lo que hoy se denomina gobierno corporativo. En segundo lugar, se analizan los modelos de gobierno corporativo aplicados por Estados Unidos, Gran Bretaña, Alemania y Japón. En tercer lugar, se examinan los mecanismos corporativos, de mercado y regulatorios, utilizados para la dirección y el control de las corporaciones y, finalmente, se examinan algunas cuestiones importantes que integran el debate actual acerca del gobierno corporativo.
